 Vivo increases 2008 CAPEX to BRL6.07bn (Brazil)

Brazilian mobile operator Vivo has announced a tripling of its planned investment for 2008 to BRL6.07 billion (USD3.48 billion), up from BRL1.92 billion in 2007. It is not clear, however, if the proposed capital expenditure for the current year includes the BRL1.3 billion acquisition of rival carrier Telemig. Vivo’s CAPEX is considerably higher than the figures announced by rivals TIM Brasil (BRL3.6 billion) and Telecom Americas’ Claro unit (BRL700 million).

   

 

 

 Vivo shareholders approve Telemig acquisition (Brazil)

The shareholders of Brazilian mobile operator Vivo Participações have approved the acquisition of shares of the Telpart holding which will give Vivo the shareholding control of mobile operators Telemig and Amazônia Celular, for BRL 1.21 billion, a deal signed on 2 August. However, the transaction still depends on the approval of Brazilian telecom regulator Anatel to be realized. The shareholders which have papers with voting rights of Vivo, but were contrary to the transaction, will be able sell their shares for BRL 5.74 each. The right of recess can be exercised by the shareholders if they should so choose between 24 August and 24 September. Vivo has agreed the purchase of 22.7 percent of the capital of Telemig Celular Participações for BRL 1.093 billion and 19.3 percent of Tele Norte Participações for BRL 120 million. Vivo will then make an offer for the ordinary shares circulating on the market and then for one third of the preferential shares, thus becoming the majority shareholder in both companies.

Vivo Participações, the Brazilian mobile joint venture of Telefónica and Portugal Telecom, has confirmed it has made an offer for rival mobile operators Telemig Celular and Tele Norte Celular Participações (Amazônia Celular), but said that no deal has been completed. The Gazeta Mercantil newspaper earlier confirmed that the two European telcos were looking to acquire the Brazilian sister companies for about BRL3.5 billion (USD1.8 billion). Last Friday, Telemig Celular denied a press report that its owners had sold the two units to Vivo. ‘The auction process has not been completed yet. There is no sale,’ a Telemig spokeswoman said. Vivo is remaining tight-lipped on the reports but stands to boost its subscriber base by around four million if it completes a deal.

Vivo is not the only company interested in the two northern cellcos. On 27 July, the CEO of Mexico-based mobile giant America Movil (AM), Daniel Hajj, said his company was interested in bidding and confirmed that AM was ‘competing’ with rivals for the Brasilia-based cellcos, but said that it purchasing them was not a necessity for AM to compete effectively in Brazil.

   

 

 Telemig, Amazônia owners to assess bids by 16 July, paper says

The principal shareholders of Brazilian mobile operators Telemig Celular and Amazônia Celular will assess takeover bids for the sister companies on 16 July, writes BNamericas citing a report in local newspaper Estado de Sao Paulo. Pension funds Previ, Petros, Funcef and Telos, could however delay the process if the bids already received are not increased, according to unnamed sources close to the funds. The paper reports that the offers received to date ‘are very poor’ and that the funds will not sell unless they receive a fair value for the two companies. The country’s largest fixed line operator by subscribers, Oi (formerly known as Telemar) has confirmed its interest in acquiring Minas Gerais-based Telemig Celular, while other firms thought to be interested include Vivo, Claro and CTBC.

The chairman of Portugal Telecom (PT), Henrique Granadeiro, said that Brazilian mobile operator Vivo is interested in rival Telemig Celular. “If Telemig was about to be sold, it should be done by Vivo. Telemig would be a natural extension of Vivo,” Granadeiro told journalists during the general assembly of shareholders of Portugal Telecom. Telefonica recently told analysts that it has space for more acquisitions and that Telemig would be an ideal target for Vivo, if the right price. At the end of May, Telpart Participacoes, the indirect controller of Telemig and of Amazonia Celular, contracted the investment bank Merrill Lynch to study strategic alternatives, including the sale of the operators. Telefonica and Portugal Telecom own Vivo in a joint venture.

   

 Telefónica interested in acquiring Telemig, sources say (Brazil)

Spanish telecoms giant Telefónica is said to be interested in purchasing Brazilian mobile operator Telemig Celular Participacoes to consolidate its Brazilian footprint, writes BNamericas citing people close to the situation. ‘Telefónica has been interested in Telemig for some time and if it is put up for sale, the company will be there to make an offer,’ the source said. The Brazilian firm is being sold off by its controlling shareholder and Oi (formerly Telemar) is already said to be studying an offer for the cellco.

GlobalComms database, the sister company of Amazônia Celular, Telemig Celular holds the Band A licence in Region IV (Minas Gerais). Originally a TDMA-only operator, in July 2004 it inked a USD100 million deal with Ericsson for GSM equipment and began migrating customers the following September; in May 2005 it announced it was abandoning TDMA handset sales altogether although it will still maintain the network. The company has around 3.4 million customers and reported revenues of USD616 million in 2006.

   

 Sister companies Telemig and Amazônia report first quarter results

Telegeography writes….Telemig Celular has posted first quarter net income of BRL42.6 million (USD21 million), up 35% year-on-year, on the back of a 24% rise in revenue to BRL317 million. EBITDA came in at BRL121 million, soaring 40% on the corresponding period last year. The results were boosted by lower churn rates, as well as declines in selling and marketing expenses and customer acquisition costs. The operator’s total subscriber base at the end of the period stood at 3,495,940 users, a slight increase compared with 3,401,000 customers one year ago. Telemig operates in the state of Minas Gerais.

Sister company Amazônia Celular also reported first quarter results, recording a net loss of BRL5.6 million, an improvement on the BRL8.1 million loss incurred last year. Revenue increased 18% to BRL115 million, with EBITDA up by more than 50% to BRL28.4 million. Net additions in the quarter totalled 45,354 new customers bringing the total subscriber base to 1,256,134. Amazônia operates in the northern states of Roraima, Amazonas, Amapá and Pará, as well as in the northeastern state of Maranhão.

   

 Telemig Celular selects RADCOM to monitor cellular, VoIP service quality

Telegeography writes…Brazilian mobile operator Telemig Celular has selected Israel-based RADCOM Ltd, a leading network test and service monitoring solutions provider, to install a new service quality monitoring system. RADCOM will deploy its Omni-Q product to measure the quality of services offered over Telemig Celular’s multi-technology, multi-vendor network. Omni-Q generates tailor-made reports for multiple users including the Network Operations Centre (NOC), engineering, customer support and management, and will enable the operator to utilise analysis and trending on an hourly, daily, weekly, or monthly basis.
