NTT DOCOMO to bid for mobile app provider Buongiorno (Japan)

NTT DOCOMO, INC. announced that it has launched a tender offer to acquire all shares in Buongiorno S.p.A., one of the largest providers of mobile internet content and apps in Europe and beyond. The tender offer will be conducted by NTT DOCOMO’s German subsidiary, DOCOMO Deutschland GmbH. Mauro Del Rio, owner of approximately 20 percent of the company’s stock, has entered into an irrevocable undertaking with DOCOMO Deutschland GmbH to tender all of his shares for the offer. DOCOMO Deutschland GmbH has issued a public notice in Italy to announce the tender offer.

Buongiorno is a worldwide leader in the development and management of paid apps and services that maximize consumer experiences with mobile devices. The company has steadily grown its business through the direct delivery of a broad portfolio of content and services to some two billion customers in 57 countries across four continents. DOCOMO decided to conduct the public tender in consideration of the potential positive impact on the growth of both companies.

The acquisition will combine DOCOMO’s innovative mobile business and services know-how in Japan and other countries with Buongiorno’s advanced mobile technologies and extensive global customer base. As part of expanding the businesses of both companies, DOCOMO expects to strengthen the foundation of its mobile platform businesses overseas.

Buongiorno Enters Gaming Market

Buongiorno, the world’s biggest mobile entertainment company, has announced its entry into the online and mobile ‘skill games’ market in Italy. The company seeks opportunities in business with the launch of WINGA, which includes a set of skill games, including slot machines, roulette, black jack and baccarat, plus casino, poker and bingo.

The company expects to launch WINGA by the end of Q2 2010 as it has secured a license to operate in the gaming business from the State Monopoly. In order to launch its commercial activities, as soon as the regulatory framework in those countries allows it, the company is also monitoring the evolution of regulatory procedures in other markets where it is already successfully operating in the B2C segment.

According to the Chief Executive Officer of the company, Andrea Casalini, the company sees a major opportunity opening up at the international level. After Italy, their target is the developments in gaming regulations in Europe.

Buongiorno raises revenue targets

Italian media content and mobile value added service reseller Buongiorno has raised its revenue target for the entire year following good results of the first quarters this year. For 2006, the group expects to achieve revenues between EUR 195 million and EUR 205 million; the previous target was EUR 170 million to EUR 180 million. EBITDA is expected between EUR 22 million and EUR 24 million and EPS of EUR 0.14 to EUR 0.15, up from the previous target of EUR 0.13 to EUR 0.14. For 2007, Buongiorno forecasts revenues between EUR 230 million and EUR 250 million. EBITDA is expected to be between EUR 30 million and EUR 34 million, with EPS of EUR 0.25 to EUR 0.28.

Long-term objectives have also been raised: specifically, for 2010 the group’s target is to achieve revenues of over EUR 500 million, and EPS at Euro 0.6. Buongiorno will focus on the mobile Value Added Services (VAS)market, expanding the range, including services capable of facilitating interaction and community creation among end users.
